Purpose: Set out the standard terms that apply when a client books, purchases, approves or otherwise instructs SafeOps Group to provide inspection, verification, reporting, advisory or related services.

Important service position

- Services are visual, observational and non-invasive unless expressly stated otherwise in writing.

- Reports are based on conditions visible and reasonably accessible at the time of attendance.

- SafeOps Group does not provide engineering certification, building certification, statutory approvals, destructive testing, legal advice or other specialist certification unless separately agreed in writing.

Application. These Terms & Conditions apply to services supplied by SafeOps Group, ABN 78 906 434 272, to the client identified in the applicable quote, proposal, booking confirmation, invoice, work order, online order or other acceptance record.

Acceptance. A client accepts these Terms by signing, approving by email, paying a deposit or invoice, booking online, selecting a checkout acceptance box, or instructing SafeOps Group to proceed.

1. Definitions

In these Terms:

Client means the person or entity engaging SafeOps Group.

SafeOps Group, we, us or our means SafeOps Group, ABN 78 906 434 272.

Services means the inspection, verification, reporting, advisory or related services described in the quote, proposal, service guide, booking form, invoice or written correspondence.

Report means any written, photographic, checklist, digital, summary or advisory output supplied by SafeOps Group.

Site means the relevant property, project, premises or location at which the Services are to be performed.

2. Services and scope

SafeOps Group provides independent inspection, verification, reporting and advisory services across construction, property, facility, WHS, accommodation and asset environments. The exact scope, pricing, timing and deliverables for each engagement will be set out in the applicable quote, proposal, booking form, invoice, service guide or written correspondence.

Services are limited to visible and reasonably accessible conditions at the time of attendance.

Services do not include opening up works, invasive investigation, latent defect detection, engineering design or certification, building certification, quantity surveying, legal advice, trade-specific certification, or specialist testing unless separately agreed in writing.

Where progress stage, completion or percentage observations are provided, they are practical observations based on visible conditions only and are not a certification of contractual entitlement, statutory compliance, or future performance.

Service packages are for a single project unless otherwise stated and must be used within 12 months of purchase unless SafeOps Group agrees otherwise in writing.

SafeOps Group may engage suitably controlled subcontractors or inspectors to perform Services under SafeOps Group systems and standards.

3. Client responsibilities

The Client must:

provide complete and accurate booking, property, contact and access information;

ensure safe, lawful and timely access to the Site at the scheduled time, including access to all relevant areas intended to be inspected;

disclose known hazards, safety issues, site restrictions, occupancy issues, pets, security requirements, access limitations or special instructions before attendance;

ensure SafeOps Group personnel and approved delivery partners are not exposed to unsafe access, aggressive conduct, threats, harassment, uncontrolled animals, hazardous materials, unsafe weather, poor lighting, unstable surfaces or other unreasonable safety risks;

review all reports in full and obtain independent specialist advice where legal, engineering, contractual, structural, financial or other expert input is required;

pay all fees in accordance with the agreed pricing and payment terms.

4. Fees, GST and payment

Unless expressly stated otherwise, quoted fees are inclusive of GST where GST applies. Travel surcharges, urgent service fees, reattendance fees, variations and additional scope items may apply where identified in the service guide, booking, quote or subsequent written approval.

Standard inspection services may require full payment in advance.

Larger reports, packages or consulting engagements may require a deposit, staged payments or full payment prior to release of the final Report.

If the scope changes after booking or additional work is requested, SafeOps Group may issue a revised fee or variation for approval before proceeding.

SafeOps Group may withhold reports or suspend future services until overdue amounts are paid.

All late payment rights apply subject to applicable law and any non-excludable consumer rights.

5. Bookings, access, cancellations and rescheduling

Requested attendance times are subject to availability. SafeOps Group will use reasonable efforts to attend within the agreed booking window but does not guarantee a specific arrival minute unless expressly confirmed in writing.

Priority booking support is included with the 5 Stage Inspection Package. This means SafeOps Group will prioritise stage inspection requests for package clients where scheduling allows.

Priority booking remains subject to site access, stage readiness, inspector availability, location, safe site conditions and agreed scope. Same-day, next-day, guaranteed time windows, weekend or after-hours attendance may incur additional fees where available.

SafeOps Group allows up to 30 minutes waiting time from the scheduled inspection time unless otherwise agreed.

If access is not provided, is materially delayed for client-side reasons, or the Site is not ready for inspection, SafeOps Group may leave the Site and treat the attendance as incomplete.

Where no access, failed attendance or reattendance occurs due to client-side issues, a call-out fee, reattendance fee or up to 50% of the original service fee may apply. Same-day cancellation or no-access situations may result in the full fee being charged.

Where more than 24 hours' notice is given, SafeOps Group may permit rescheduling without penalty, or another commercial arrangement reasonably determined by SafeOps Group.

SafeOps Group may postpone or refuse attendance where conditions are unsafe, unlawful, inaccessible or otherwise unsuitable for service delivery.

6. Reports, reliance and use

Each Report is prepared solely for the Client identified in the engagement unless SafeOps Group expressly agrees otherwise in writing.

Reports are prepared for the specific purpose and scope stated in the relevant engagement and must be read as a whole .

No third party may rely on a Report without SafeOps Group ' prior written consent.

Photographs are illustrative only and support the written observations; they may not capture every condition, area or item present.

Any advisory comments are practical observations only and do not replace independent legal, engineering, certification or other specialist advice.

7. Limitations and exclusions

SafeOps Group is not responsible for hidden, latent, concealed or inaccessible conditions, matters outside the agreed scope, conditions that change after the inspection date, or issues that would require invasive testing or specialist investigation to identify.

SafeOps Group does not warrant that every defect, risk, maintenance issue, non-compliance item or incomplete work item will be identified.

Any stage descriptions, completion observations or percentage estimates are indicative only and based on visible conditions at the time of inspection.

Where specialist confirmation is required, SafeOps Group may recommend escalation to an engineer, certifier, lawyer, licensed trade contractor or other appropriate professional.

8. Site conditions and safety

SafeOps Group may refuse, suspend, limit, reschedule, discontinue or cancel Services where site conditions are unsafe, unlawful, inaccessible, aggressive, threatening, uncontrolled, outside scope or otherwise unsuitable for service delivery.

SafeOps Group inspections are completed from safe and reasonably accessible areas only. SafeOps Group personnel and approved delivery partners are not required to use ladders, climb roofs, enter confined spaces, enter unsafe roof voids or subfloors, move heavy objects, access unstable surfaces, enter restricted zones without approval, or remain on site where conduct or conditions create a risk to personal safety.

SafeOps Group maintains a zero-tolerance approach to verbal abuse, intimidation, threats, harassment, discriminatory conduct, physical aggression, obstruction or pressure to alter inspection findings. If unacceptable conduct occurs, SafeOps Group personnel may leave the Site immediately.

The Client is responsible for ensuring that SafeOps Group can attend the Site without being exposed to undisclosed hazards or unsafe conditions. Where an inspection cannot proceed or is limited due to unsafe access, failed access, aggressive conduct or client/site conditions, fees may still apply and any reattendance may incur additional charges.

SafeOps Group personnel and subcontractors must be permitted to comply with SafeOps Group internal safety procedures and any lawful site induction requirements.

9. Subcontractors and white-label arrangements

SafeOps Group may use employees, contractors, inspectors or subcontractors to perform or assist with the Services.

Where white-label or branded delivery is agreed, SafeOps Group retains ownership of its methodologies, templates, systems, checklists and know-how unless expressly agreed otherwise in writing.

Clients must not copy, reproduce, resell or represent SafeOps Group systems, templates or internal methodologies as their own beyond the scope expressly agreed.

10. Complaints and rework requests

If the Client has a concern regarding the Services or a Report, the Client should notify SafeOps Group in writing as soon as reasonably practicable, setting out the issue and the requested resolution.

SafeOps Group will review complaints in good faith and may provide clarification, correction, reissue, reattendance or another reasonable response depending on the circumstances.

A complaint does not automatically suspend payment obligations for work already performed unless required by law or agreed by SafeOps Group in writing.

11. Privacy and confidentiality

SafeOps Group will handle personal information and project information in accordance with its Privacy Policy and internal confidentiality controls.

The Client must keep confidential any non-public SafeOps Group pricing, templates, methodologies, commercial information or materials disclosed for the engagement except where disclosure is required by law or reasonably required for the intended use of the Service.

12. Intellectual property

All SafeOps Group templates, methods, systems, checklists, branding, logos, report structures and other underlying intellectual property remain the property of SafeOps Group unless expressly agreed otherwise in writing.

Upon payment of applicable fees, the Client receives a limited, non-exclusive licence to use the delivered Report for its intended purpose.

No licence is granted to modify, commercialise, publish or distribute SafeOps Group intellectual property beyond the agreed use without SafeOps Group ' prior written consent.

13. Force majeure

SafeOps Group is not liable for delay or failure to perform caused by events outside its reasonable control, including severe weather, site closures, access restrictions, utility outages, government action, industrial disruption or other unforeseen events. SafeOps Group may reschedule the Services within a reasonable time in such circumstances.

14. Liability

Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded, including rights under the Australian Consumer Law.

Subject to the paragraph above and to the maximum extent permitted by law, SafeOps Group ' aggregate liability arising out of or in connection with the Services is limited to the lesser of the amount paid by the Client for the relevant Service and the cost of re-supplying the relevant Service.

SafeOps Group is not liable for indirect, consequential or business loss, including delay costs, financing costs, loss of opportunity, lost profit, or reputational impact.

The Client remains responsible for its own commercial, contractual, legal, engineering and financial decisions and for obtaining any specialist advice reasonably required.

15. Termination

Either party may terminate an engagement before completion by written notice if the other party commits a material breach and fails to remedy it within a reasonable time, or where safe or lawful service delivery is no longer possible.

Fees for work already performed, booked attendance, travel, approved variations and committed costs remain payable on termination.

16. General

These Terms are governed by the laws of New South Wales, Australia, unless another Australian law must apply.

If any provision is held invalid or unenforceable, the remaining provisions continue to operate.

A failure or delay in enforcing a right does not waive that right.

SafeOps Group may update these Terms for future engagements. The version provided or made available at the time of booking, purchase or acceptance will apply to the relevant engagement.

Acceptance

By proceeding with a booking, payment, written approval or online checkout acceptance, the Client confirms that it has read, understood and accepted these Terms & Conditions and has authority to engage SafeOps Group for the relevant Services.
